Quantum Clients™ Academy Terms of UseHey there fellow small biz owner! By purchasing access to Quantum Clients™ Academy(hereinafter the “Program”), you, the purchaser (hereinafter “Student”) enters an agreement(“Contract”) with Dianne LLC ("Company" “Dianne”, “Passion Breakthrough”,“Passionbreakthrough.com,” “we” or “us”) and agree to the following terms:1. Course DeliverablesThe Program is an online course. In addition, the Company agrees to provide the content andservices as promised on the Program checkout page, which includes:● Support through 1-1 onboarding call, personalized work review +private community● Access to exclusive portal for FAST Launch™ Formula including future updates● Access to an ever-growing library of resources during your time in the Program● Plus+1: Student can bring 1 business partner or technical / social media assistant● Invitation to group coaching calls, bonus trainings, & PIF Bonus 1-1 Voxer supportNotwithstanding that certain Program materials may be planned to be completed live byCompany, there is no guarantee that any material will be completed in such manner. For clarity,Student agree that we may substitute any program with a pre-recorded video, at Company’s solediscretion, without recourse of any kind whatsoever.As long as Student is actively part of the Program, Student will retain access to the portal for thelife of the Program, meaning for as long as Company offers and maintains the Program.Company will provide Student with at least two week’s notice should Company need to retire theprogram. It is then Student’s responsibility to download all materials from the Program before theretirement date noted by Company.In the unlikely event that we remove, disable or restrict access to any material from Program(including, but not limited to, material which you have posted and / or stored), Student agrees notto hold Company liable for damages resulting from loss of information or the restricted availabilityof materials.Last Updated: January 15, 2023| Quantum Clients Academy 2023 Agreement | Passion Breakthrough © Dianne LLC | Page 1 of 6

For personalized & 1-1 support, estimated response time is within a few hours to 24 hours duringthe working hours M-F 9am-5pm CST, except for weekends, sick days, & planned holidays.(i.e.Dianne takes the first full week off of each month as a CEO week)2. Privacy PolicyCompany's Site Terms, Data & Privacy Policy is hereby incorporated by reference into thisagreement from the site found on the footer of PassionBreakthrough.com Student understandsthat Company will be providing educational content to Student and that Company’s obligationsunder this Agreement exist only while Student is a paying member of the Program and thatCompany’s obligations will cease once Student or Company terminates Student’s access toProgram.3. PaymentIn consideration of Student’s access to the Program, Student agrees to pay the invoiced amountas noted on the checkout page upon purchase. As part of this Program, Student is committing toan initial 6-month term. After the initial term, Student can choose to complete their term in theProgram (graduate), sign up for another term (alumni), or ascend to the SCALE for MOREmastermind / 1-1 offer (uplevel). In the event Student chooses to graduate, access to all CourseDeliverables is terminated upon their term.Student price is locked-in even when Program price increase, however should Student decide tocancel and re-sign up for Program in the future, new price and terms apply. All amounts chargedby Company are to be in USD funds.Student further authorize and irrevocably direct Company to charge Student’s payment details onfile, such as credit card, debit card, Paypal, Stripe, bank transfer, etc, automatically as part ofStudent’s payment plan without further reference to you.Student hereby agree that you will not dispute any charges processed, regardless of method,including but not limited to: Paypal, Stripe, credit card, bank transfer, etc. If at anytime Studentbelieves there is a claim for reimbursement, your sole remedy shall be through the methodsoutlined elsewhere in this Agreement.Last Updated: January 15, 2023| Quantum Clients Academy 2023 Agreement | Passion Breakthrough © Dianne LLC | Page 2 of 6

4. No RefundsCompany has a strict no refund, no return policy on the Program. Student understands andagrees to this.5. CancellationBoth parties have the right to rescind this Agreement within 5 days of purchase by sending awritten notice to the other party. Upon rescission, any payments made by Student will be returnedwithin ten business days, and Company will revoke Student access to the entire Program andhereby nullifying this Contract.Student may not cancel their payments for the Program and understand that Student is solelyresponsible for paying for the Program in full upon registration. Student claims no right for earlytermination, or discount, notwithstanding that payment may be made in installment. ShouldStudent fail to make timely payment, Company may immediately suspend Student’s access to theProgram and pursue whatever remedies available to collect the balance owed.Company may suspend, cancel &/or restrict Student’s access to Program at any time any reason.6. Intellectual PropertyCompany owns the rights to all content in the Program such as texts in the forms of guides,books, explanations and the like, as well as other graphics, logos, images, downloads, and otherlike materials. Student’s participation in the Program does not transfer any intellectual propertyrights to Student. Company grants Student a single-use, non-exclusive, non-transferable,revocable license to any and all Program content. Student agrees to keep confidential allinformation learned and not to create any derivative works of the content found in the Program.By posting or submitting any material to Company, including, but not limited to, comments, voicenotes, social media posts, photos, videos, etc, you grant, or warrant that the owner of such rightshas expressly granted, Company a perpetual, royalty-free, irrevocable, non-exclusive right andlicense to use, reproduce, modify, edit, adapt, publish, translate, commoditize, create derivativeLast Updated: January 15, 2023| Quantum Clients Academy 2023 Agreement | Passion Breakthrough © Dianne LLC | Page 3 of 6

works from and distribute such materials or incorporate such materials into any form, medium ortechnology now known or later developed.7. Force MajeureCompany shall not be liable or responsible to Student, nor be deemed to have defaulted orbreached this Agreement, for any failure or delay in fulfilling or performing any term of thisAgreement when and to the extent such failure or delay is caused by or results from acts orcircumstances beyond the reasonable control of the Company including, without limitation, acts ofGod, flood, fire, earthquake, explosion, governmental actions, war, invasion, or hostilities(whether war is declared or not), terrorist threats or acts, riot, or other civil unrest, nationalemergency, revolution, insurrection, epidemic, lock-outs, strikes or other labor disputes (whetheror not relating to either party’s workforce), or restraints or delays affecting carriers or inability ordelay in obtaining supplies of adequate or suitable materials, materials or telecommunicationbreakdown or power outage.8. Independent ContractorNothing in this Agreement shall be construed to create a partnership, joint venture, employment,or agency relationship. Company may be engaged or employed in any other business, trade,profession, or other activity during the Program without the Student's prior written consent.Company agrees only to provide Client with access to the Program, which provides educationand information. The information contained in the Program, including any interactions with theinstructors, is not intended as, and shall not be understood or construed as, professional advice.Student also understands that Company is not providing one-on-one service on behalf of Student.9. LiabilityStudent agrees to absolve and do hereby absolves Company of any and all liability or lossStudent may suffer or incur as a result of use of the Program and/or any information andresources contained in the Program. 10. IndemnificationStudent agrees to indemnify, defend, and hold harmless the Company, its officers, directors,employees, agents, and third parties for any losses, costs, liabilities, and expenses (includingaccounting and legal fees) relating to or arising out of Student’s use of or inability to use theProgram and related services, any user postings made by Student, your violation of any terms ofthis Agreement or your violation of any rights of a third party, or Student’s violation of anyapplicable laws, rules or regulations. Student shall not be entitled to, and will not try to seek anycosts or fees from us relating to, and / or arising from any case brought.Student shall not publicly make any negative expressions, or representations about Company, orallow any such expressions or representations to be made.11. Dispute ResolutionStudent expressly waives any and all claims, now or in the future, arising out of or relating to theProgram. To the extent Student attempts to assert any such claim, Student hereby expresslyagrees to present such claim only in the small claims courts in Hennepin County, Maple Grove,Minnesota, USA. Student must file within one (1) year after such claim or cause of action firstarose, or shall be forever barred. Student agree to only bring forth individual claims and not a trialby jury or as a plaintiff or class member in any purported class or representative proceeding. Thelaws of location above without regard to its conflict of laws principles, shall exclusively apply, to allmatters whatsoever arising under, in connection with, or relating to, this agreement.12. ModificationCompany may modify terms of this agreement at any time. All modifications shall be posted onthe Company’s website. You herein accept the changes by continuing to participate in theProgram. 13. WarrantyCompany makes no representations about the suitability, reliability, availability, timeliness, andaccuracy of the information, software, products, services, and related graphics contained in theProgram for any purpose. To the maximum extent permitted by applicable law, all suchinformation, software, products, services, and related graphics are provided “as is” withoutwarranty or condition of any kind. Company and/or its suppliers hereby disclaim all warranties andconditions with regard to this information, software, products, services, and related graphics,including all implied warranties or conditions of merchantability, fitness for a particular purpose,title, and non-infringement.14. AssignmentStudent may not assign this Agreement without express written consent of Company.15. SeverabilityIf any provision of this Contract shall be declared invalid or unenforceable, such provision shall bedeemed eliminated from this Contract & remaining provisions shall continue in full force and effect16. HeadersHeadings in this Agreement are for convenience only and shall not affect the meaning orinterpretation of any provision of this Agreement.I acknowledge that I have read and understood the content of this document.
