Passion Breakthrough Affiliate Program Terms & ConditionsHey there partner! As an authorized affiliate (“Affiliate”, “you”, “your”) of DianneLLC(“Passion Breakthrough”, “we”, “us”, “our”, “Company”), you agree to abide by the termsand conditions contained in this Agreement (“Agreement”). Please read the entireAgreement carefully before registering and promoting DianneLLC as an Affiliate.By signing up for the DianneLLC Affiliate Program (“Partnership”), you indicate youracceptance of this Agreement and its terms and conditions.1. Approval or Rejection of the ApplicationWe reserve the right to approve or reject ANY Partnership Application in our solediscretion. You will have no legal recourse against us about our decision.2. CompensationAffiliate will earn a fee (hereinafter “Commission”) equal to $300 for successful referralsinto the Quantum Clients Academy & Done-for-You funnel services and 50% of thegross revenue for each sale of prepackaged trainings, one-time masterclasses, &membership (hereinafter “Program” or “Programs”). Affiliate understands that Companymay update this commission structure at any time and that Commissions earned aftersuch updates will be at those updated percentages.You cannot refer yourself, and you will not receive a commission on your own accounts.There is also a limit of one commission per referral. If someone clicks the link on yoursite and orders multiple accounts, then you will receive a commission on the first orderonly.Compensation will be paid quarterly (every 90 days). Company provides a designatedrefund period for their customers whereby customers may request a refund during a setperiod of time for specific reasons. Affiliate is not entitled to a Commissions on andrefunded sales. For this reason, Company will make affiliate payments after the refundperiod/s expire. Payments will only be sent for transactions that have been successfullycompleted. Transactions that result in chargebacks or refunds will not be paid out.3. TerminationYour affiliate application and status in the Partnership may be suspended or terminatedfor any of the following reasons:● Inappropriate advertisements (false claims, misleading hyperlinks, etc.)● Spamming (mass email, mass newsgroup posting, etc.)● Advertising on sites containing or promoting illegal activities.Last Updated: February 15, 2023| Affiliate Program Agreement | Passion Breakthrough © Dianne LLC | Page 1 of 5

● Failure to disclose the affiliate relationship for any promotion that qualifies as anendorsement under existing Federal Trade Commission guidelines and regulations,or any applicable state laws.● Offering rebates, coupons, or other form of promised kick-backs from your affiliatecommission as an incentive. Adding bonuses or bundling other products withDianneLLC, however, is acceptable.● Self referrals, fraudulent transactions, suspected Affiliate fraud.In addition to the foregoing, DianneLLC reserves the right to terminate any Affiliateaccount at any time, for any violations of this Agreement or no reason.4. Affiliate Links & MaterialsCompany will provide Affiliate with a unique tracking link to promote Company’sprograms. Company will pay Affiliate a Commission for each sale affiliated withAffiliate’s unique link. Tracking of these sales is automatically done by Company’smarketing systemCompany may provide to Affiliate graphics, email, web, or social copy, and othertemplates (hereinafter “Materials”) for Affiliate to use in the promotion of the Programs.The Materials may include design elements proprietary to Company. Company grantsAffiliate a revocable, non-exclusive license to use the Materials solely in relation toefforts promoting under this Agreement.You may use graphic and text links both on your website and within in your emailmessages. You may also advertise the DianneLLC site in online and offline classifiedads, magazines, and newspapers.You may use the graphics and text provided by us, or you may create your own as longas they are deemed appropriate according to the conditions and not in violation asoutlined in Condition 3.By posting or submitting any material to Company, including, but not limited to,comments, voice notes, social media posts, photos, videos, etc, you grant, or warrantthat the owner of such rights has expressly granted, Company a perpetual, royalty-free,irrevocable, non-exclusive right and license to use, reproduce, modify, edit, adapt,publish, translate, commoditize, create derivative works from and distribute suchmaterials or incorporate such materials into any form, medium or technology now knownor later developed.5. Coupon and Deal SitesDianneLLC occasionally offers coupon to select affiliates & to email leads. If you’re notpre-approved / assigned a branded coupon, then you’re not allowed to promote thecoupon. ● Affiliates may not use misleading text on affiliate links, buttons or images to imply thatanything besides currently authorized deals to the specific affiliate.● Affiliates may not bid on DianneLLC Coupons, DianneLLC Discounts or other phrasesimplying coupons are available.● Affiliates may not generate pop-ups, pop-unders, iframes, frames, or any other seenor unseen actions that set affiliate cookies unless the user has expressed a clear andexplicit interest in activating a specific savings by clicking on a clearly marked link,button or image for that particular coupon or deal. Your link must send the visitor to themerchant site.● Pay Per Click (PPC) bidding is NOT allowed without prior written permission.6. PayoutsCompany will send Commissions via PayPal on the first Monday of each month on thefirst month after the refund period. If Affiliate earns a commission on a Program with aninstallment agreement or payment plan, Company will send Affiliate’s Commissions ininstallments proportional to the payment plan chosen by Company’s student. Forexample, if Affiliate earns a 50% commission on a $3,000 sale where the studentagrees to pay in three equal installments, Affiliate will receive their $1,500 Commissionin three equal installments of $500. Company, may, at their sole discretion, insteadchoose to pay the Commission in one lump sum.7. Force MajeureCompany shall not be liable or responsible to Affiliate, nor be deemed to have defaultedor breached this Agreement, for any failure or delay in fulfilling or performing any term ofthis Agreement when and to the extent such failure or delay is caused by or results fromacts or circumstances beyond the reasonable control of the Company including, withoutlimitation, acts of God, flood, fire, earthquake, explosion, governmental actions, war,invasion, or hostilities (whether war is declared or not), terrorist threats or acts, riot, orother civil unrest, national emergency, revolution, insurrection, epidemic, lock-outs,strikes or other labor disputes (whether or not relating to either party’s workforce), orrestraints or delays affecting carriers or inability or delay in obtaining supplies of suitablematerials, materials or telecommunication breakdown or power outage.8. Independent ContractorNothing in this Agreement shall be construed to create a partnership, joint venture,employment, or agency relationship. Affiliate understands that they are an independentcontractor, and that they are responsible for their own taxes on any Commissions.9. 10. LiabilityAffiliate agrees to absolve Company of any and all liability or loss any person may sufferor incur as a result of their participation in the affiliate partnership. Affiliate agrees thatCompany shall not be liable to you for any type of damages, including direct, indirect,special, incidental, equitable, or consequential loss or damages for use of thePartnership.DianneLLC will not be liable for indirect or accidental damages (loss of revenue,commissions) due to affiliate tracking failures, loss of database files, or any results ofintents of harm to the Partnership and/or to our website(s).We do not make any expressed or implied warranties with respect to the Programand/or the memberships or products sold by DianneLLC. We make no claim that theoperation of the Partnership and/or our website(s) will be error-free and we will not beliable for any interruptions or errors.11. WarrantyCompany makes no representations about the suitability, reliability, availability,timeliness, and accuracy of the information, software, products, services, and relatedgraphics contained in the Program for any purpose. To the maximum extent permittedby applicable law, all such information, software, products, services, and relatedgraphics are provided “as is” without warranty or condition of any kind. Company and/orits suppliers hereby disclaim all warranties and conditions with regard to thisinformation, software, products, services, and related graphics, including all impliedwarranties or conditions of merchantability, fitness for a particular purpose, title, andnon-infringement.12. AssignmentAffiliate may not assign this Agreement without written consent of Company.13. Article HeadingsAll article, paragraph, and section headings set forth in the Agreement are intended forconvenience only and shall not control or affect the meaning, construction, or effect ofthis Agreement or any of the provisions thereof.14. IndemnificationAffiliate shall indemnify and hold harmless DianneLLC and its affiliate and subsidiarycompanies, officers, directors, employees, licensees, successors and assigns, includingthose licensed or authorized by DianneLLC to transmit and distribute materials, fromany and all liabilities, damages, fines, judgments, claims, costs, losses, and expenses(including reasonable legal fees and costs) arising out of or related to any and all claimsLast Updated: February 15, 2023| Affiliate Program Agreement | Passion Breakthrough © Dianne LLC | Page 4 of 5

sustained in connection with this Agreement due to the negligence, misrepresentation,failure to disclose, or intentional misconduct of Affiliate.Affiliate shall not publicly make any negative expressions, or representations aboutCompany, or allow such expressions or representations to be made.15. Governing Law, Jurisdiction, and Attorney FeesAffiliate expressly waives any and all claims, now or in the future, arising out of orrelating to the Partnership. To the extent Affiliate attempts to assert any such claim,Affiliate hereby expressly agrees to present such claim only in the small claims courts inHennepin County, Maple Grove, Minnesota, USA. Affiliate must file within one (1) yearafter such claim or cause of action first arose, or shall be forever barred. Affiliate agreeto only bring forth individual claims and not a trial by jury or as a plaintiff or classmember in any purported class or representative proceeding. The laws of locationabove without regard to its conflict of laws principles, shall exclusively apply, to allmatters whatsoever arising under, in connection with, or relating to, this agreement.16. Term of the AgreementThe terms of this Agreement along with data protection, privacy & terms found on theSite (passionbreakthrough.com/terms) begins upon your acceptance in the Partnership& will end when your Affiliate account is terminated.The terms and conditions of this agreement may be modified by us at any time. If anymodification of the Agreement is unacceptable to you, your only choice is to terminateyour Affiliate account. Your continuing participation in the Partnership will constitute youracceptance of any change.17. Electronic Signatures EffectiveThe Agreement is an electronic contract that sets out the legally binding terms of yourparticipation in DianneLLC’s affiliate program. You indicate your acceptance of thisAgreement and all of the terms and conditions contained or referenced in thisAgreement by completing the affiliate application process.
